This Distance Sales Agreement (the "Agreement") is concluded electronically between the Seller and the Buyer identified below. The Agreement is subject to the following terms and conditions.
Loopcode operates the workspace platform available under the "Lodos" brand at lodos.io and in the Lodos web, desktop and mobile applications (the "Platform"). Loopcode is also the seller of the subscription plans and token packs sold through the Platform.
The Buyer is the natural or legal person purchasing a subscription or token pack through the Platform (the "Buyer"). The Buyer’s identity and contact details are recorded in the order record. The Buyer enters these details at the payment step of the order. The order record forms an integral part of this Agreement.
The subject of this Agreement is the sale and performance of the subscription plan or token pack ordered electronically by the Buyer through the Platform. The Agreement also sets out the parties’ rights and obligations under the Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.
The products subject to the Agreement are digital content used in the Platform’s modules:
The token cost of paid operations is published on the lodos.io/token page and, in modules where it is offered, shown before the operation is started. The token cost of an operation may vary depending on the Buyer’s plan. Tokens cannot be converted to cash or transferred. They may only be used within Loopcode products. The Buyer’s Lodos account uses the same token wallet in other Loopcode products built on the Lodos infrastructure (for example Yeşilçam Studios). Tokens for paid operations that could not be completed for a reason attributable to Loopcode are refunded to the Buyer’s wallet. Tokens credited with a subscription plan are valid only within the relevant period and do not carry over. Purchased token packs are valid for 365 days from the date of purchase. They are not affected by subscription renewals or plan changes. At the end of this period, unused tokens are removed from the wallet and no refund is made for them. Loopcode notifies the Buyer by email at least 7 days before expiry. Tokens whose validity ends soonest are spent first.
The sale price is the total amount, including taxes, shown on the payment screen at the time of the order and confirmed by the Buyer. Prices are in TL/TRY for the Türkiye market and in USD for other markets, and include VAT. The token pack price may vary depending on the Buyer’s plan at the time of purchase. No additional service or transaction fee is charged to the Buyer.
Payment is made by card through the iyzico payment infrastructure with 3D Secure verification. Card details are not stored by Loopcode. For subscriptions, renewal payments are collected automatically at the start of each period. They are charged to the card stored by iyzico with the Buyer’s approval. If the charge fails, it is retried for a few days. If it still fails, the subscription is not renewed and the account is moved to the free Standard plan. Token packs already purchased are not affected by this change.
The e-Archive invoice for the sale is issued within the period required by law and sent to the e-mail address declared by the Buyer.
The service is performed electronically immediately after the payment is completed successfully. Token packs are loaded instantly into the Buyer’s wallet. The subscription starts immediately and the plan’s tokens are credited. Delivery is made to the Buyer’s Platform account; there is no physical delivery. Purchases are made through the Platform’s web and desktop applications. The delivered tokens and plan benefits can be used in all Lodos applications signed in with the Buyer’s account.
The products subject to the Agreement fall under two sub-paragraphs of Article 15(1) of the Regulation on Distance Contracts. These are sub-paragraph (ğ) (services performed instantly in the electronic environment and intangible goods delivered instantly) and sub-paragraph (h) (services whose performance began with the consumer’s approval before the withdrawal period expired). By confirming the order, the Buyer acknowledges that they request immediate performance. The Buyer therefore also acknowledges that they have no right of withdrawal.
The absence of the right of withdrawal is communicated to the Buyer before the purchase in the Preliminary Information Form and on the payment screen. This does not remove the rights regarding the refund cases set out in Article 7.
The procedures and principles regarding cancellation and refunds are set out in the "Cancellation and Refund Policy" document. That document takes effect together with this Agreement. By placing the order, the Buyer is deemed to have accepted the conditions in that document.
A refund request for an entirely unused pack (no tokens spent) is accepted if it is submitted within 14 days of the purchase date. Partially or fully used packs are not refundable.
The Buyer may cancel the subscription at any time. Cancellation stops the next renewal. The amount paid for the current period is not refunded, and access continues until the end of the period.
Approved refunds are made to the payment instrument (card) used by the Buyer at the time of payment. Loopcode makes the refund through the iyzico infrastructure within 14 days at the latest. The time for the refund to appear in the Buyer’s account may vary depending on the processes of the relevant bank or payment institution.
The Buyer;
and accepts, declares and undertakes the above.
Personal data provided by the Buyer under this Agreement is processed in accordance with the Turkish Personal Data Protection Law No. 6698 ("KVKK") and related legislation. The "Privacy Policy" document gives detailed information on the following: the purposes of processing, the parties to whom data is transferred, retention periods and the rights of the data subject.
Card details used in payment transactions are transmitted to iyzico and are not stored by Loopcode. The Buyer may submit KVKK requests via info@loopcode.co.
This Agreement is governed by the laws of the Republic of Türkiye. For disputes arising from consumer transactions, the Consumer Arbitration Committees have jurisdiction within the monetary limits announced each year. For disputes above those limits, the Consumer Courts have jurisdiction. For disputes that are not consumer transactions, the courts and enforcement offices of Istanbul have jurisdiction.
The Buyer may submit complaints and requests to info@loopcode.co.
The Buyer declares on the payment screen that they have read and approved the Preliminary Information Form and this Agreement, and completes the order. At that moment the Agreement is concluded and enters into force. Loopcode keeps a copy of the Agreement, in the version accessible from the Buyer’s account. A confirmation that the Agreement has been concluded is sent to the Buyer’s e-mail address.
